Terms of Service

These Terms of Service govern your use of Varuna, a portfolio tracking product developed by Bebegu Labs. By accessing the website, creating an account, signing in, importing data, subscribing to a paid plan, or otherwise using Varuna, you agree to these terms and to our Privacy Policy.

If you do not agree, do not use Varuna. If you use Varuna for a company, fund, family office, partnership, organization, or other entity, you represent that you have authority to bind that entity, and references to you include that entity.

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Varuna. You may not use Varuna if you are barred from using the service under applicable law or if we have previously suspended or terminated your account for cause.

You are responsible for ensuring that your use of Varuna is lawful in the place where you live, work, invest, or access the product.

Varuna helps you track portfolios, holdings, cash, transactions, dividends, allocation, returns, goals, Monte Carlo simulations, reports, and imports from documents, emails, and CSV files.

The product may include free and paid features, usage limits, analytics, market data, document imports, email imports, CSV imports, custom assets, exports, notifications, and experimental or beta functionality. We may change how features work, which features are available, and which limits apply.

Varuna is not a broker, bank, custodian, exchange, investment adviser, tax adviser, accountant, or legal adviser. Varuna does not recommend securities, strategies, allocations, tax treatment, purchases, sales, deposits, withdrawals, or any other financial decision.

Any analytics, estimates, goals, projections, simulations, rankings, returns, dividend estimates, yield calculations, or reports are informational only. You are solely responsible for investment, tax, accounting, legal, and financial decisions made using or referencing Varuna.

You must provide accurate account information, keep your sign-in method secure, and promptly update information that becomes inaccurate. You are responsible for all activity under your account, including activity by anyone you invite, authorize, or allow to access your account, device, email aliases, or sign-in provider.

We may rely on your sign-in provider, session, browser, device, email address, or other account signals to treat actions as authorized. Notify us promptly if you believe your account, email alias, or sign-in method has been compromised.

You retain ownership of portfolio data, account content, documents, messages, files, notes, and other materials you submit to Varuna. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, transform, analyze, extract, and use that information as needed to operate, secure, support, improve, and provide Varuna.

You are responsible for the completeness, legality, quality, and accuracy of the information you enter, upload, forward, import, edit, delete, or approve. You must not submit information you do not have the right to process through Varuna.

Varuna may import data from CSV files, uploaded documents, screenshots, PDFs, images, forwarded emails, email bodies, and extracted text. Imported data may be inaccurate, incomplete, duplicated, misclassified, misread, delayed, or missing. It may not match a broker, custodian, bank, tax form, statement, or official record.

You are responsible for reviewing, correcting, approving, deleting, or rejecting imported transactions and for verifying any information before relying on it. Varuna is not responsible for losses, penalties, tax consequences, accounting errors, trading errors, or other harm caused by imported or extracted data.

If you upload or forward documents, images, screenshots, PDFs, statements, confirmations, or emails, you authorize Varuna and its service providers to store, read, extract, process, and transform that material for import, review, support, security, abuse prevention, and product operation.

We may use AI or machine-learning providers to extract transaction and holding information. AI output is probabilistic and may be wrong. You should not treat extracted output as authoritative, complete, or suitable for tax, audit, regulatory, accounting, or investment purposes without independent review.

Varuna may provide portfolio-specific email aliases for importing trade confirmations and statements. You are responsible for who can send to those aliases and for reviewing imported data.

We may add imports automatically from trusted or authenticated senders, stage imports for review, or reject unknown aliases, unsupported file types, oversized messages, abusive traffic, suspicious messages, untrusted senders, unauthenticated senders, or imports that exceed quotas. You are responsible for rotating or disabling an alias if it is exposed or no longer needed.

Email forwarding and sender authentication can behave differently across mail providers. We do not guarantee that every email, forwarded email, attachment, or message body will be received, authenticated, parsed, imported, or retained.

Prices, fundamentals, corporate actions, exchange rates, market metadata, and historical series may come from third-party providers. They can be delayed, unavailable, incorrect, or revised.

Varuna does not guarantee that market data, performance calculations, corporate actions, split adjustments, dividends, yield calculations, exchange rates, IRR, cash flows, cost basis, profit, loss, allocation, tax-related values, simulations, forecasts, or reports are accurate, complete, current, uninterrupted, or suitable for your intended use.

You should verify important figures against your broker, custodian, bank, exchange, tax records, or professional adviser before making decisions.

Paid plans are billed through Paystack. Prices, billing intervals, included limits, and plan features are shown in the product or on the pricing page at checkout.

By starting a paid plan, you authorize Paystack or the applicable payment provider to charge the selected payment method on a recurring basis until renewal is cancelled or the subscription ends. Taxes, bank fees, card fees, foreign exchange fees, and payment provider charges may apply and are your responsibility unless otherwise stated.

If you cancel renewal, you keep paid access until the paid period ends unless we are required to end access earlier for abuse, fraud, legal, security, or chargeback reasons. If payment fails, the subscription is cancelled, a charge is reversed, or a plan is not renewed, Varuna may downgrade the account to the free plan at the end of the paid period or after any grace period we provide.

Payments are non-refundable except where required by law or where we expressly state otherwise. We may, at our discretion, provide credits, refunds, extensions, or exceptions, but doing so once does not require us to do so again.

We may change plan prices, included features, limits, or billing intervals. If a price change affects an active recurring subscription, we will take reasonable steps to notify you before the change applies, where required by law or payment provider rules.

You may not use Varuna to:

• Break the law or violate the rights of another person.
• Upload malware, phishing material, or content you do not have the right to process.
• Upload, forward, or store sensitive information that is not needed for portfolio tracking.
• Attack, scan, scrape, overload, crawl, reverse engineer, or bypass Varuna access controls.
• Use bots, scripts, aliases, imports, or automation in a way that harms reliability or exceeds ordinary use.
• Send spam, abusive mail, unsolicited messages, malicious attachments, or fraudulent documents to import aliases.
• Misrepresent your identity, impersonate another person, or access data that does not belong to you.
• Interfere with billing, subscription checks, rate limits, entitlement checks, or security controls.
• Use Varuna to build a competing product by copying non-public functionality, design, data, or workflows.

Varuna depends on third-party services for authentication, hosting, storage, email routing, email delivery, analytics, payments, market data, AI extraction, and other functions. Their availability, accuracy, terms, policies, pricing, and behavior are outside our control.

We are not responsible for third-party services, websites, links, data, failures, delays, outages, rate limits, price changes, policy changes, or security incidents except to the extent required by law.

Varuna is provided over the internet and may be interrupted, delayed, degraded, unavailable, modified, or discontinued. We may add, change, limit, suspend, remove, or discontinue features, providers, limits, plans, integrations, pages, or workflows at any time.

We may suspend, restrict, or terminate access if needed for security, abuse prevention, legal compliance, non-payment, chargebacks, product reliability, investigation, support, or protection of Varuna, users, or third parties.

You may stop using Varuna at any time. We may suspend or terminate your account if you violate these terms, create risk for Varuna or others, fail to pay amounts owed, misuse imports or aliases, submit unlawful material, or use the product in a way that is abusive, harmful, fraudulent, or unreasonable.

After termination or deletion, we may delete or deidentify account data, subject to backup, billing, security, legal, fraud prevention, dispute, and operational retention needs. You are responsible for exporting information you need before deleting your account or losing access.

Varuna, its design, software, branding, and related materials belong to Bebegu Labs or its licensors. You retain ownership of the data you provide, subject to the rights needed for us to operate the product.

You may not copy, modify, distribute, sell, lease, sublicense, publicly display, reverse engineer, attempt to extract source code from, or create derivative works based on Varuna except as allowed by law or with our written permission.

If you send us ideas, suggestions, feedback, bug reports, feature requests, designs, or other comments, you grant us permission to use them without restriction, attribution, or compensation. We are not required to treat feedback as confidential.

Varuna is provided as-is and as available. To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and uninterrupted operation.

We do not warrant that Varuna will meet your requirements, that data will be accurate or available, that imports will be correct, that market data will be current, that errors will be fixed, or that the service will be free from vulnerabilities, interruptions, data loss, unauthorized access, or third-party failures.

To the fullest extent allowed by law, Bebegu Labs and its owners, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost savings, lost data, investment losses, missed trades, tax consequences, accounting consequences, reputational harm, business interruption, or cost of substitute services.

To the fullest extent allowed by law, our total liability for all claims relating to Varuna will not exceed the greater of the amount you paid to Varuna for the service during the three months before the event giving rise to the claim or NGN 50,000.

To the fullest extent allowed by law, you agree to defend, indemnify, and hold harmless Bebegu Labs and its owners, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from your use of Varuna, your data, your imports, your violation of these terms, your violation of law, or your violation of another person's rights.

These terms are governed by the laws of the Federal Republic of Nigeria, except where mandatory consumer protection rules in your location say otherwise.

Before bringing a formal claim, you agree to first contact us at [email protected] and give us a reasonable opportunity to resolve the issue informally. To the fullest extent allowed by law, claims must be brought individually and not as part of a class, consolidated, representative, or collective action.

We may update these terms from time to time. If a change is material, we will take reasonable steps to notify users through the product, by email, or by updating the date on this page. Continued use of Varuna after changes become effective means you accept the updated terms.

If you do not agree to updated terms, you must stop using Varuna and, if applicable, cancel renewal before your next billing period.
